Terms & Conditions of Trade
Definitions
“We”, “TLC” and “the Company” refer to TLC Solutions Ltd. “You”, “the Customer” refers to any business, individual or other legal entity who places an order from TLC. “The Goods” refers to any products sold or delivered to the Customer by the Company.
Terms and conditions
These terms and conditions fall under the jurisdiction of English law. This document as provided at the point of trade supersedes any other terms and conditions unless agreed in writing by the Company.
Order process
- By placing an order, the Customer is entering into a contract with TLC on the basis of these Terms and Conditions of Trade (this document), which is binding once the order is confirmed, either verbally or in writing.
- TLC agrees to supply the products in a confirmed sales order at the agreed prices.
- The Customer agrees to buy the products in a confirmed sales order at the agreed prices.
- All orders are subject to stock availability. If a product is unavailable, we may offer an alternative. The Customer may reject this alternative and will not be charged.
- The Company reserves the right not to confirm an order.
Delivery
- TLC offers delivery to a wide range of locations and always tries to be flexible with delivery dates and times. We can only serve some areas on certain days; please contact us for accurate information.
- The Customer may request a preferred delivery time; however, TLC cannot guarantee precise delivery times.
- TLC cannot be held responsible for any loss or damage caused during delivery which is beyond the Company’s control.
- Deliveries will be made to the address requested by the Customer, provided that address is reasonably accessible by the Company’s vehicles.
- The Customer must ensure that they or a nominated agent is available to accept delivery of the Goods and provide a signature, unless otherwise agreed with the Company.
- TLC employees will make reasonable efforts to deliver Goods to the Customer’s storage facility provided this is at ground level. Employees are not insured to carry Goods up or down stairs.
- Discrepancies between Goods delivered and delivery documents must be noted at the point of delivery and countersigned by the driver. Credit cannot be offered where shortages have not been recorded appropriately.
- In the event of a failed delivery, the Company may seek to recover costs from the Customer as appropriate.
- Abuse of TLC employees will not be tolerated, and the Company reserves the right not to serve any customer deemed abusive.
Price
- Prices shown in marketing materials are subject to change and may contain errors or omissions.
- The Company reserves the right to change prices and product specifications according to market conditions or for any other reason.
- The Company will notify customers of accurate pricing before confirming an order.
- Promotional discounts may be offered based on minimum purchase quantities.
- Prices shown in printed materials or quoted verbally may not include VAT (where applicable) at the prevailing rate.
Payment
- Payment is due on delivery for all orders unless otherwise agreed by the Company.
- The Customer agrees to pay invoices in full on delivery by cash or card (using the phone). Cheques may be accepted at the discretion of management.
- The Company reserves the right to charge statutory interest on late payments (currently 8% above the Bank of England base rate) under the Late Payment of Commercial Debts (Interest) Act 1998.
- Returned cheques will incur a £25 fee per cheque.
- Title to Goods remains with the Company until all related invoices are settled in full and signed by a Company representative.
- The Customer bears all risk of loss or damage to the Goods.
- The Company may require return of the Goods in lieu of payment.
- The Company may enter the Customer’s premises to repossess Goods in lieu of payment.
Warranties
TLC warrants that all products comply with legislative and regulatory requirements.
Returns
- the product was delivered in error;
- the product was sold in error; or
- there is a problem with the product.
Refunds or exchanges for other reasons are at TLC’s discretion.
Frozen or chilled Goods will only be considered for refund if stored appropriately. This does not affect your statutory rights.
Data protection
To fulfil our service, we may retain data about you and your business, including your address and mobile number. All data is held in accordance with the law. We may contact you for sales and marketing purposes (e.g. to take your order). If you prefer not to be contacted, please let us know.
